Costin is a Senior Associate in our Corporate/M&A practice.
He is a seasoned corporate lawyer specialized in providing strategic legal advice to both international and domestic clients across various industries, including renewable energy, real estate, IT&C and retail.
Costin has been involved in various multi-disciplinary projects, providing advice and coordinating the transactional process, starting from the due diligence analysis, throughout negotiations and successfully closing the transaction.
His expertise also includes drafting and negotiating a wide range of commercial agreements, as well as advising businesses on day-to-day corporate matters. He delivers practical legal solutions to streamline operations and ensure ongoing compliance with the Romanian legislation.
He has been a member of the Bucharest Bar and the Romanian Bar Association since 2016.

REPRESENTATIVE EXPERIENCE:
- Advised a US investment and holding company focusing on software, technology and media with the restructuring of its activity carried out through the Romanian subsidiary, which involved: (i) performing a legal due diligence report on the Romanian subsidiary’s activity in relation to the envisioned restructuring operation; (ii) drafting and implementing a business transfer; (iii) negotiating ongoing agreements concluded by the Romanian subsidiary; (iv) assisting in various corporate operations for the restructuring operation; and (v) drafting software development agreements.
- Advised a major international investor in the renewables field in the due diligence process regarding the acquisition of two photovoltaic park projects with an estimated capacity of 299 MW, located in Giurgiu County.
- Advised a Spanish IT and defence systems company with coordinating the due diligence process on the Romanian subsidiary of a multi-jurisdictional Spanish corporation, specializing in providing services in the aerospace sector involved in most of the European Space Agency programs.
- Advised a Big4 company in the transaction and due diligence process for the cross-border acquisition of a company performing consultancy activities in climate protection and decarbonization across the European Union.
- Advised a Romanian investment fund listed on the Romanian stock exchange in the due diligence process for the acquisition of 70% of the shares in a Romanian company specialized in the production of construction materials having ongoing contracts with major retail sellers of construction materials in Romania, in a transaction exceeding EUR 6M.
- Advised a Romanian distributor of electricity, listed on the stock exchange and partially owned by the Romanian state, on corporate and commercial aspects in the process of setting up a joint venture with an international company based in the United Arab Emirates for the implementation of an investment scheme to modernize and digitalize the infrastructure of the Romanian electrical supply grid.
- Advised a multinational aerospace corporation in the business of manufacturing commercial aircrafts in the due diligence process of a French multinational information and technology service and consulting company with offices worldwide.
- Advised a group of companies based in France in the business of providing booking, media and consulting services for travel professionals, with coordinating the due diligence process for the purchase of a Romanian group of companies activating in the same sector.
- Advised an international French corporation, leader in digital services, in the acquisition process of 100% of the shares of a Romanian IT company and in the restructuring process of all the Romanian subsidiaries involving a business transfer of assets and employees.
- Advised a Romanian owned enterprise in the business of computer systems design with drafting and implementing a Stock Option Plan for its employees and key personnel, as well as performing house-keeping corporate and commercial operations for the client and providing other legal reports or opinions at the request of the client.
